Terms of service

These Terms of Service (the "Terms") govern the use of the AxosHub cloud productivity workspace (the "Service"), operated by AxosHub GmbH ("AxosHub", "we", "us", "our"), a limited-liability company organised under the laws of the Federal Republic of Germany, registered with the Amtsgericht Berlin-Charlottenburg under HRB 294 617 B, having its registered office at Chausseestraße 22, 10115 Berlin, Germany, USt-IdNr. DE 358 214 907. By provisioning or using an Axos workspace, you enter into a binding agreement with AxosHub subject to these Terms.

1. Scope of the Service

The Service is a cloud-based productivity workspace comprising three primary surfaces — notes, tasks and calendar — accessed through any modern web browser via a passwordless magic-link sign-in flow. Workspace data is stored on our European sync backbone distributed across the sync regions listed on /regions. The Service explicitly does not include: self-hosted or on-premise deployment, native mobile or desktop applications, in-product chat, community wikis with typed relational databases, or the storage of files as a first-class surface outside the attachments feature of the notes surface.

2. Account provisioning and workspace access

A workspace is provisioned against the email address supplied at sign-up (the "Workspace Email"). Control of the Workspace Email is the sole identity anchor of the workspace. You are responsible for maintaining control of that address; loss of that control necessitates the identity-verification recovery flow described in the recovery guide. Access to the workspace is granted by tapping a signed magic link emailed to the Workspace Email. Session cookies (ax_ws) are issued with a 90-day rolling lifetime and are revocable per browser from /session-and-devices.

3. Plans, billing and cancellation

The Service is offered on the plans described on /catalog, at the prices in force at the time of subscription. All prices are quoted in euros and, where applicable, are exclusive of value-added tax. Value-added tax is added at the rate applicable in the country of the billing address. B2B customers within the European Union may apply reverse-charge treatment by supplying a valid VAT identification at checkout. Subscriptions on the monthly billing cycle renew automatically each month; subscriptions on the yearly billing cycle renew automatically each year. Cancellation is possible at any time from /account and takes effect at the end of the then-current billing period, with a pro-rated refund issued for the unused portion of any yearly subscription within seven working days to the original payment method. Lifetime plans (Axos Founder) are billed once and do not renew; the corresponding workspace remains active for the operational lifetime of the Service.

4. Free plan

The Free plan is provided at no charge, subject to the limits published on the Axos Free product page. The Free plan is not a time-limited preview; it is not automatically converted to a paid plan; no credit card is stored at the time a Free plan is provisioned. AxosHub reserves the right to modify Free-plan limits with 30 days' prior notice sent to the Workspace Email.

5. Acceptable use

Use of the Service must comply with the Acceptable Use Policy at /aup, which is incorporated by reference into these Terms. Violations may result in suspension of the workspace and, in serious cases, termination of the subscription with erasure of workspace data subject to the notice and grace-period requirements set out below.

6. Intellectual property

You retain ownership of the content you create inside your workspace (notes, tasks, calendar events, attachments). You grant AxosHub a limited, non-exclusive, worldwide, royalty-free licence to store, transmit, replicate and display that content solely to the extent necessary to operate the Service, including creating backups and snapshots consistent with the policy set out in the security whitepaper. AxosHub retains all intellectual-property rights in the software, design, brand and documentation of the Service. No provision of these Terms transfers any such right to you or to any third party.

7. Confidentiality

AxosHub treats workspace content as confidential to the workspace owner. Content is not read by AxosHub staff except (i) with the express written authorisation of the workspace owner in the course of a specific support request, or (ii) as strictly required by a binding legal order. Content is not used to train machine-learning models under any circumstances. Aggregate operational metrics (workspace size, edit frequency, sync latency) are collected from encrypted counters that do not disclose content.

8. Data protection

Personal data processed in connection with the Service is governed by the Privacy Policy at /privacy and, for German-language readers, by the Datenschutzerklärung at /datenschutz. For customers acting as data controllers within the meaning of the GDPR, the Data Processing Agreement at /dpa is incorporated by reference and binds AxosHub as the data processor.

9. Warranty and disclaimer

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. AxosHub does not warrant that the Service will be uninterrupted, error-free, or free from vulnerabilities. AxosHub does warrant that it will apply commercially reasonable efforts to meet the 99.9 % sync availability target published on the security whitepaper, and will publish incident postmortems for material outages.

10. Limitation of liability

To the maximum extent permitted by applicable law, AxosHub's aggregate liability arising out of or in connection with the Service, in any twelve-month period, is limited to the aggregate amount paid by the customer to AxosHub in the twelve months preceding the event giving rise to the claim. The foregoing limitation does not apply to liability that cannot be limited under mandatory law, including in cases of intent, gross negligence or bodily injury.

11. Termination

You may terminate the subscription at any time from /account. AxosHub may terminate the subscription for material breach of these Terms or the Acceptable Use Policy, with reasonable notice sent to the Workspace Email and a grace period of at least 30 days during which the workspace can be exported. Upon termination, workspace data is erased in accordance with the deletion procedure; invoices are retained for ten years pursuant to §147 AO.

12. Modifications

AxosHub may amend these Terms with 30 days' prior notice sent to the Workspace Email. Continued use of the Service after the effective date of the amended Terms constitutes acceptance. If you do not accept the amended Terms, you may cancel the subscription with a pro-rated refund for the unused portion of any pre-paid period.

13. Governing law and jurisdiction

These Terms are governed by the law of the Federal Republic of Germany, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The place of jurisdiction for disputes arising out of or in connection with these Terms is Berlin, Germany, provided that the customer is a merchant, a legal entity of public law, or a special asset of public law. Mandatory consumer-protection rules of the customer's country of habitual residence remain unaffected.

14. Additional clauses on subscription lifecycle

Where a paid subscription is renewed and the customer disputes the renewal on the ground of unwanted continuity, we accept refund requests received within seven working days of the renewal invoice and refund in full. This applies to both monthly and yearly renewals. The customer's workspace is switched back to the Free plan at the moment of the refund; existing content is preserved unchanged.

Where a workspace remains on the Free plan for more than 24 consecutive months without a single sign-in, we send a notice to the workspace address that the workspace will be scheduled for erasure in 90 days unless a sign-in occurs. This "abandoned workspace" clause exists to keep our sync backbone tidy and does not apply to paid workspaces.

Where AxosHub introduces a new paid tier, existing customers on a comparable tier are not automatically migrated. Migration is opt-in from /account. Existing customers keep the price and terms of their current tier for as long as they wish; a subsequent voluntary migration to a new tier is priced at the new-tier rate from the migration date onwards.
